These Terms apply to all products and services provided by Materia Themes ("Materia Themes," "Materia," "we," "us," or "our").

By visiting our website, creating an account, purchasing a product, downloading a file, activating a license key, installing a theme, requesting support, or using any Materia Themes product or service, you agree to be legally bound by these Terms.

If you do not agree with these Terms, you must not access, purchase, download, install, activate, or use any Materia Themes product or service.

3. Acceptance of Terms

By completing a purchase on our website, you confirm that you have read, understood, and accepted these Terms, our Privacy Policy, and our Refund & Return Policy.

At checkout, customers may be required to review and accept applicable policies before completing an order. Completing an order confirms that you understand the product is digital, that access may be granted immediately, and that refunds are limited according to our Refund & Return Policy and applicable consumer protection laws.

Your continued use of Materia Themes products or services also confirms your acceptance of the latest version of these Terms.

4. Eligibility

You must be at least 18 years old or have permission from a parent or legal guardian to use our website, purchase our products, or access our services.

By using Materia Themes, you confirm that:

you have the legal capacity to enter into these Terms, the information you provide is accurate and complete, you are using our products for lawful purposes, and you will comply with all applicable laws, regulations, and Shopify platform rules.

We reserve the right to refuse service, cancel access, or revoke licenses if we believe a customer has provided false information, violated these Terms, or used our products unlawfully.

5. Digital Products

Materia Themes sells digital products for Shopify.

These may include, but are not limited to:

Shopify themes, templates, theme sections, code files, design assets, documentation, digital downloads, license keys, product updates, and related support resources.

No physical goods are shipped. Delivery is completed digitally through download access, email delivery, account access, or license key issuance.

Because our products are digital, they may be accessible immediately after purchase. Once digital access is provided, the product is considered delivered.

6. License Plans and Usage Rights

When you purchase a Materia Themes product, you receive a limited license to use that product according to the plan you selected.

The current license plans are:

Starter — valid for 1 Shopify store.

Growth — valid for up to 3 Shopify stores.

Professional — valid for unlimited Shopify stores.

A license gives you the right to install and use the purchased product within the limits of your selected plan. The license does not transfer ownership of the product, code, design, brand, intellectual property, or underlying assets to you.

All licenses are revocable, non-exclusive, non-transferable, and subject to these Terms.

7. Permitted Use

You may use Materia Themes products to build, customize, and operate Shopify stores within the limits of your purchased license.

You may:

install the product on permitted Shopify stores, customize the theme or template for your own store, modify styling and content for your business needs, use the product to operate your Shopify storefront, and receive updates or support where included with your license.

Any use beyond the selected license plan requires an upgraded license or additional written permission from Materia Themes.

8. Prohibited Use

You may not:

resell, redistribute, share, sublicense, copy, publish, leak, or give away Materia Themes products, whether in original or modified form.

You may not use one license on more stores than your plan allows.

You may not remove, disable, bypass, modify, or interfere with license activation, license verification, usage limits, or security mechanisms.

You may not claim ownership of Materia Themes products, code, design elements, branding, documentation, or assets.

You may not use Materia Themes products to create competing themes, templates, digital products, or resale assets.

You may not upload Materia Themes products to marketplaces, file-sharing websites, private groups, public repositories, or any other unauthorized distribution platform.

You may not use our products for illegal, fraudulent, abusive, misleading, harmful, or prohibited business activities.

Violation of these restrictions may result in immediate license termination, loss of access, removal of support, and possible legal action.

9. Ownership and Intellectual Property

All Materia Themes products remain the intellectual property of Materia Themes or its licensors.

This includes, but is not limited to:

theme code, template files, design systems, layouts, UI elements, UX patterns, graphics, images, written content, documentation, product names, branding, logos, demos, previews, screenshots, and related materials.

Purchasing a product gives you a license to use it. It does not give you ownership of the product or permission to redistribute it.

All rights not expressly granted in these Terms are reserved by Materia Themes.

10. Payments

Payments are processed securely through third-party payment providers.

By placing an order, you authorize the payment provider to charge your selected payment method for the full amount shown at checkout.

Prices may be displayed in USD or another currency, depending on the checkout configuration. Taxes, VAT, or other charges may apply depending on your location and applicable laws.

Materia Themes reserves the right to change prices, plans, discounts, features, or product availability at any time. Price changes do not apply retroactively to completed purchases unless stated otherwise.

11. Refunds and Returns

Materia Themes products are digital and non-physical. Once access is granted, the product is considered delivered.

Refunds are handled according to our Refund & Return Policy.

Refunds are generally not provided after digital delivery, except in limited cases such as duplicate purchases, verified billing errors, or verified technical defects that cannot be resolved by our support team within a reasonable timeframe.

Refunds are not normally granted for:

change of mind, accidental purchase, lack of use, non-activation, purchasing the wrong product or plan, insufficient technical knowledge, failure to read the product description, incompatibility caused by third-party apps, conflicts caused by custom code, Shopify platform limitations, or issues outside the original product scope.

By purchasing, you acknowledge that you understand the digital nature of the product and the refund limitations that apply.

12. Free Trials, Demos, and Limited Access

Materia Themes may offer free trials, previews, demos, free products, or limited-access versions of certain products.

Free trials or demos may include restricted functionality, limited usage, watermarks, activation limits, or time-based access.

Free trials and demos are provided for evaluation purposes only. Continued use after the trial period, where applicable, may require a valid paid license.

Attempting to bypass, reset, manipulate, or abuse trial restrictions, demo limits, or license systems is strictly prohibited.

Materia Themes may modify, suspend, or remove free trials, demos, or free products at any time.

13. License Activation

Some products may require license activation.

License activation may require information such as:

license key, customer email, order number, Shopify store URL, product name, selected plan, activation date, and activation status.

You are responsible for activating the license on the correct store or stores.

You are also responsible for keeping your license key safe and not sharing it publicly or with unauthorized users.

If a license key is shared, abused, leaked, resold, or used outside the allowed plan limits, Materia Themes may deactivate the license without refund.

14. Updates

Materia Themes may provide updates, improvements, bug fixes, compatibility changes, performance improvements, or security patches.

Access to updates may depend on the product, license plan, and purchase terms.

Updates may change, improve, remove, or replace certain features. We do our best to maintain quality and compatibility, but we do not guarantee that every update will be compatible with every Shopify store setup, third-party app, custom code modification, or outdated theme version.

Customers are responsible for backing up their Shopify theme before installing updates or making changes.

15. Compatibility

Materia Themes products are designed for Shopify, but compatibility may depend on your store setup, Shopify version, installed apps, custom code, browser, device, and third-party integrations.

We are not responsible for issues caused by:

third-party apps, custom code, modified theme files, unsupported integrations, Shopify platform changes, browser limitations, outdated software, incorrect installation, or changes made outside the original Materia Themes product.

We may try to help identify compatibility issues, but fixing third-party conflicts or custom modifications may not be included in standard support.

16. Support Services

Materia Themes may provide email-based support for eligible customers.

Support may include:

installation guidance, license activation help, basic setup assistance, troubleshooting product behavior, and resolving verified bugs directly caused by Materia Themes.

Support does not normally include:

custom development, advanced theme customization, custom feature creation, redesign work, store strategy, marketing advice, SEO consulting, Shopify billing help, third-party app fixes, or repairing issues caused by customer modifications.

Support response times may vary depending on request volume, complexity, weekends, holidays, and business hours.

When requesting support, you should include your order number, email used at checkout, product name, Shopify store URL, and a clear description of the issue.

17. Customer Responsibilities

You are responsible for:

choosing the correct product and license plan, reviewing product descriptions before purchase, ensuring the product fits your intended use, maintaining your Shopify store, backing up your theme files, protecting your license key, using the product within your license limits, and following Shopify's rules and applicable laws.

You are also responsible for any changes made by you, your team, contractors, developers, apps, or third-party services.

Materia Themes is not responsible for damage, errors, loss, or compatibility problems caused by modifications made outside our original product files.

18. Account Access and Security

If your purchase or product access requires an account, you are responsible for keeping your login details secure.

You must not share your account, download access, or license key with unauthorized users.

You must notify us if you believe your account or license key has been compromised.

Materia Themes is not responsible for unauthorized access caused by your failure to protect your account, email, Shopify admin, password, or license details.

19. Chargebacks and Payment Disputes

Customers should contact Materia Themes support before opening a chargeback or payment dispute.

If you open an unjustified chargeback after receiving access to a digital product, we may provide evidence to the payment processor, including order details, license records, delivery confirmation, download logs, activation records, checkout policy acceptance, and support communications.

Unjustified chargebacks may result in:

license deactivation, removal of product access, suspension of support, account restrictions, and refusal of future purchases.

Materia Themes reserves the right to defend disputed payments where delivery and access can be verified.

20. Termination

Materia Themes may suspend or terminate your license, account, support access, download access, or future updates if you violate these Terms.

Reasons for termination may include:

license misuse, unauthorized sharing, resale, redistribution, piracy, chargeback abuse, fraud, reverse engineering, bypassing activation systems, abusive behavior toward support, unlawful use, or actions that harm Materia Themes, our customers, our systems, or our reputation.

Upon termination, you must stop using the product and remove all related files from your Shopify stores, devices, and storage locations unless otherwise required by law.

Termination does not limit any legal rights or remedies available to Materia Themes.

21. Prohibited Technical Activity

You must not attempt to:

hack, reverse engineer, decompile, scrape, exploit, overload, damage, or interfere with Materia Themes products, license systems, servers, website, checkout, or support systems.

You must not introduce malware, viruses, bots, scripts, automated abuse, or harmful code.

You must not attempt to gain unauthorized access to any Materia Themes system, customer account, private file, license database, or restricted area.

22. Third-Party Services

Materia Themes products may interact with or be used alongside Shopify, Shopify apps, payment providers, analytics tools, marketing tools, hosting services, and other third-party platforms.

Materia Themes is not responsible for third-party services, apps, integrations, outages, pricing changes, data practices, policies, or performance.

Your use of third-party services is governed by their own terms and privacy policies.

23. Privacy and Data

Your personal information is handled according to our Privacy Policy.

We may process certain information to deliver products, manage licenses, provide support, prevent fraud, comply with legal obligations, and operate our services.

We do not directly store full payment card details. Payments are handled by secure third-party payment processors.

24. Fair Use and Brand Integrity

You may not falsely claim that your store, product, agency, service, or business is officially built by, partnered with, sponsored by, or endorsed by Materia Themes unless we have given written permission.

You may not use Materia Themes branding, product demos, screenshots, marketing materials, or product names in a misleading way.

You may not copy our website, demo stores, sales pages, product presentation, or brand assets to resell, misrepresent, or promote competing products.

25. Disclaimer of Warranties

Materia Themes products and services are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, we do not provide warranties of any kind, whether express, implied, or statutory.

We do not guarantee that our products will be error-free, uninterrupted, compatible with every setup, suitable for every business need, or permanently available.

We do not guarantee specific business results, sales performance, conversion rates, SEO rankings, loading speeds, revenue, or customer behavior from using our products.

26. Limitation of Liability

To the maximum extent permitted by law, Materia Themes shall not be liable for indirect, incidental, special, consequential, punitive, or business-related damages.

This includes, but is not limited to:

loss of profits, loss of sales, loss of data, business interruption, Shopify downtime, app conflicts, theme modification issues, security incidents caused by third parties, failed marketing campaigns, or loss of business opportunities.

Our total liability for any claim related to a purchased product shall not exceed the amount you paid for that specific product, unless applicable law requires otherwise.

27. Indemnification

You agree to indemnify and hold Materia Themes harmless from any claims, damages, losses, liabilities, costs, or expenses arising from:

your use of our products, your violation of these Terms, your misuse of a license, your unlawful activity, your store content, your customer disputes, your third-party app usage, your custom modifications, or your infringement of another party's rights.

28. Changes to Products and Services

Materia Themes may update, modify, replace, discontinue, or remove products, features, services, documentation, demos, or support options at any time.

We may also change product names, plan limits, license rules, pricing, or availability.

Where reasonable, we may provide notice for major changes, but we are not required to continue offering any product, feature, or service indefinitely.

29. Changes to These Terms

We may update these Terms from time to time.

When changes are made, the "Last updated" date at the top of this page will be revised.

If changes are significant, we may notify users by email, website notice, checkout notice, or another reasonable method.

Your continued use of Materia Themes after updated Terms are posted means you accept the updated Terms.

30. Governing Law and Jurisdiction

These Terms are governed by the laws of the jurisdiction in which Materia Themes is legally registered, unless mandatory consumer protection laws require otherwise.

Any disputes shall be handled by the competent courts of that jurisdiction, except where applicable law gives you mandatory rights to bring a claim elsewhere.

If you are located in the European Union, United Kingdom, United States, Canada, or another region with consumer protection laws, your mandatory legal rights remain protected to the extent required by law.

31. Entire Agreement

These Terms, together with our Privacy Policy, Refund & Return Policy, and any additional license or product-specific terms, represent the entire agreement between you and Materia Themes regarding your use of our website, products, and services.

They replace any previous agreements, communications, or understandings, whether written or verbal.

32. Severability

If any part of these Terms is found to be invalid, illegal, or unenforceable, the remaining sections will continue to apply.

The invalid section will be interpreted as closely as possible to the original purpose, to the extent permitted by law.

33. No Waiver

If Materia Themes does not enforce a part of these Terms immediately, this does not mean we waive our right to enforce it later.

Any waiver must be made in writing to be valid.
